Bretten, Germany - SEEBURGER AG, as the transferring company, has spun off its “Sales and Consulting” division into the newly established SEEBURGER Deutschland GmbH & Co. KG. With the spinoff the above-mentioned activities will be bundled into a German subsidiary. In the future, SEEBURGER AG will act as a holding company and bundle central services within the SEEBURGER Group.
On July 13, 2023 the corresponding spinoff agreement between SEEBURGER AG, as the transferring company, and SEEBURGER Deutschland GmbH & Co. KG, as the acquiring company, was notarized. The SEEBURGER AG annual general meeting and the SEEBURGER Deutschland GmbH & Co. KG shareholder meeting have each approved the spinoff as of July 13, 2023.
Previously, the Sales and Consulting division bundled the core sales and consulting activities of SEEBURGER AG, including all corresponding customer relations and orders that are not provided by subsidiaries of SEEBURGER AG in other countries. The object of SEEBURGER Deutschland GmbH & Co. KG is the distribution of services and software in the field of process automation and electronic data interchange, including the consulting of other companies, but not in the field of legal and tax advice.
SEEBURGER Deutschland GmbH & Co. KG will be represented by Managing Directors Daniel Riegel and Dr. Marco Pister. In addition, we have appointed Karin Spilker and Silke Fey as the company’s authorized signatories.
“SEEBURGER AG aims to focus more on its core tasks and offer all regions the same access to the central services and product portfolio in order to promote growth equally throughout the group. The step to establish SEEBURGER Deutschland GmbH & Co. KG leads to uniform structures worldwide and allows the new company to focus more on the needs of the German market and on the development of this region,” said Axel Haas, Co-CEO of SEEBURGER AG. Michael Kleeberg, Co-CEO of SEEBURGER AG adds, “We are confident that the resulting sharpening of processes, strengthening of cross-regional cooperation and stronger focus on the respective core business will prepare the SEEBURGER Group for future and expected growth.”
As a result, SEEBURGER Deutschland GmbH & Co. KG will employ approximately 200 people and generate an annual turnover of approximately 90 million euros, according to the current measures. This new structure became effective on September 6, 2023, when it was entered into the trade register for the SEEBURGER headquarters.
